These Terms of Service (the “Terms”) are a contract between you and Black Tide Studio, an Arizona sole proprietorship operating the TicketQuill service (“TicketQuill,” “we,” “us,” or “our”). These Terms govern your access to and use of the TicketQuill Discord application, dashboard, website, and related support (collectively, the “Service”).
Important: These Terms are drafted for the current sole-proprietorship structure. If the business later forms an LLC or other legal entity, the contracting-party name, notice information, and related provisions should be updated before the new entity begins contracting with customers.
1. Relationship with Discord
TicketQuill operates through Discord. TicketQuill is independent from Discord and is not affiliated with, sponsored by, endorsed by, or operated by Discord Inc.
Your use of Discord is separately governed by Discord’s applicable Terms of Service, Developer Terms, Developer Policy, Monetization Terms, Community Guidelines, and other applicable Discord policies. You are responsible for complying with those rules. These Terms govern your relationship with TicketQuill and do not modify your separate agreement with Discord. If a Discord rule controls your use of Discord or the Discord platform, that Discord rule governs that relationship.
We may suspend or terminate the Service if continuing to provide it would violate Discord requirements or materially expose us to legal, security, or platform risk.
2. Eligibility and authority
To install, configure, administer, or purchase TicketQuill, you represent that:
- you are at least 18 years old and otherwise legally able to enter a contract where you live;
- you have authority to act for the Discord server, organization, or business you are configuring;
- if you accept on behalf of an organization, you have authority to bind that organization; and
- information you provide to us is accurate and kept reasonably current.
TicketQuill is a general-purpose service and is not designed or marketed as a service for children. You must not use TicketQuill to knowingly collect information from children in violation of applicable law, and you must not configure forms to request unnecessary sensitive information.
3. Acceptance and electronic records
Before first use of the dashboard, an administrator must affirm eligibility and accept these Terms and the Privacy Policy through an affirmative, non-prechecked acceptance mechanism linking to the current versions.
We may keep records reasonably necessary to prove acceptance, including the document version, effective date, timestamp, Discord user ID, applicable server ID, acceptance event, and related transaction or entitlement reference.
Electronic records and electronic acceptance have the same effect as written records to the extent permitted by applicable law.
4. Plans, prices, and subscriptions
TicketQuill currently offers:

There is no annual plan or free trial unless we expressly state otherwise.
Paid purchases are offered through Discord’s applicable monetization and purchase flow. Discord, or the applicable mobile app store where relevant, displays the price, taxes, and other purchase information before confirmation and handles payment processing under its applicable terms.
The amount actually displayed to you at checkout controls the transaction. Prices may differ by platform, currency, tax treatment, or applicable mobile-store fees.
Paid subscriptions renew automatically according to the applicable Discord subscription terms until cancelled. You are responsible for cancelling through the subscription controls made available by Discord.
We may change prices for future billing periods. For material price increases to an existing subscription, we will provide advance notice where required by applicable law and, where reasonably practicable, at least 30 days’ notice.
5. Failed payments
If a renewal fails, TicketQuill may provide a temporary grace period of up to seven days before moving the affected server to the Free plan. The grace period is not a promise that access will remain available where Discord cancels, reverses, blocks, or otherwise changes the underlying entitlement sooner.
We may rely on Discord’s entitlement and payment events as the authoritative source for subscription status.
6. Cancellation, downgrade, and termination effects
You may cancel a paid subscription through Discord at any time. Cancellation normally stops future renewals and does not automatically create a prorated refund. Unless otherwise required by law or Discord’s applicable refund rules, paid access continues through the period already purchased.
When a subscription ends, the server moves to the Free plan non-destructively. We do not delete your configuration because you downgraded. Panels, buttons, forms, appearance, routing, and staff settings are retained for as long as TicketQuill remains installed on the server, and entitled behaviour is restored if you subscribe again. What changes is that objects beyond the Free plan limits, and paid-only functionality, stop activating or rendering.
TicketQuill stays installed on your server when a subscription ends. We do not remove the app because you stopped paying.
Separately, if you choose to remove TicketQuill from your server, that is different from downgrading, and it starts the retention and deletion periods described in our Privacy Policy.
We may suspend or terminate access when reasonably necessary to:
- comply with law or a binding legal request;
- comply with Discord requirements;
- address a security incident or material security risk;
- prevent fraud, abuse, or material harm; or
- enforce these Terms after applicable notice and cure rights.
7. Refunds and billing disputes
Discord’s applicable refund rules govern purchases made through Discord, and Discord or the applicable mobile app store may make the final eligibility decision for refunds. TicketQuill does not directly hold or control your payment card information and generally cannot independently reverse a Discord transaction.
We will provide a reasonable support channel for billing disputes and refund requests. If you contact us, we may help identify the relevant entitlement or transaction and, where appropriate, support or escalate the request to Discord.
Our support commitment. Where you contact us within seven calendar days of a first paid purchase, or within seven calendar days of a renewal, we will support and escalate your refund request to Discord. For a duplicate or incorrect charge we will do so whenever we can verify the problem, with no time limit. This is a commitment about our own conduct, not a guarantee of the outcome — Discord decides whether a refund is issued, and a request made outside these periods may still succeed under Discord's own rules.
Nothing in these Terms limits any refund, cancellation, chargeback, or consumer right that cannot lawfully be waived.
If we permanently discontinue a paid Service for a customer who is not in breach, we will seek, where commercially and technically available, a refund or credit for the unused portion of the affected prepaid period. Discord’s applicable refund procedures and decisions may control whether and how that refund is actually issued.
8. Acceptable use
You must not, and must not knowingly allow others to use TicketQuill to:
- violate applicable law or regulation;
- violate Discord’s rules or abuse Discord’s APIs or platform;
- infringe or misappropriate intellectual-property rights;
- violate another person’s privacy or data-protection rights;
- conduct fraud, phishing, impersonation, harassment, threats, or unlawful surveillance;
- distribute malware or malicious code;
- attempt to bypass authentication, permissions, subscription entitlements, rate limits, or technical safeguards;
- interfere with, overload, probe, or disrupt the Service or its infrastructure;
- collect payment-card numbers, passwords, authentication secrets, Social Security numbers, government identification numbers, health information, or other highly sensitive information through TicketQuill forms unless we have expressly authorized that use in writing; or
- use the Service in a way that creates an unreasonable legal, security, or operational risk to TicketQuill, Discord, or other users.
You are responsible for your Discord server configuration, roles and permissions, administrator accounts, staff access, the questions you configure in forms, the notices you provide to your members, and the lawfulness of your processing of information controlled by you.
Enforcement
For an ordinary material violation, where reasonably practicable, we will provide notice describing the violation and a 14-day opportunity to cure. We may act sooner where the violation creates an immediate security, legal, platform, fraud, or safety risk.
Severe violations may result in immediate suspension or termination. We may also preserve evidence, cooperate with lawful requests, or take other measures reasonably necessary to protect the Service or others.
A suspension or termination does not eliminate rights or obligations that by their nature should survive termination.
9. Your content and limited license
You retain ownership of content and configuration you submit or configure through the Service, subject to rights of third parties.
You grant TicketQuill a limited, non-exclusive, worldwide license to host, process, transmit, reproduce, display, modify for technical formatting, and otherwise use that content only as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Service, comply with law, and prevent abuse.
We do not acquire ownership of your ticket content.
Ticket conversation transcripts and attachment bytes are intended to remain in your Discord environment and are not intentionally stored by TicketQuill as part of its normal ticket-content storage architecture. The Privacy Policy describes the data boundary and any operational metadata we retain.
You represent that you have the rights and permissions necessary for the content and instructions you provide to TicketQuill.
10. Privacy and data processing
Our Privacy Policy describes how TicketQuill processes personal information for its own purposes.
Where you use TicketQuill to process personal information on your behalf, you generally act as the controller or business responsible for that information and TicketQuill acts as a processor or service provider to the extent applicable law recognizes that relationship.
You are responsible for providing appropriate notices to your members, selecting lawful purposes and questions, configuring permissions, responding to requests concerning information you control, and complying with applicable privacy and data-protection law.
Where applicable, our Data Processing Addendum (DPA) forms part of these Terms for processing performed on your behalf. If a DPA applies and conflicts with these Terms on a data-processing matter, the DPA controls for that matter.
11. Third-party services and dependencies
TicketQuill depends on third-party services, including Discord, hosting, domain/email infrastructure, and other providers we may use from time to time.
We do not control third-party services and are not responsible for their independent acts, omissions, outages, policy changes, security incidents, or terms. Your use of a third-party service remains subject to that provider’s terms and privacy practices.
A third-party outage does not by itself constitute a breach of these Terms by TicketQuill.
12. Availability and changes to the Service
TicketQuill is provided on a best-effort basis. No uptime, availability, response-time, or service-level agreement is promised unless we expressly enter one in writing.
We may perform maintenance, make security fixes, change technical architecture, add or remove features, or modify plan limits. We will not intentionally remove a material paid feature solely to defeat a customer’s paid entitlement, and for material adverse changes to a paid offering we will provide notice and any cancellation or refund opportunity required by applicable law or Discord’s applicable monetization rules.
Nothing in this section limits mandatory consumer rights.
13. Support
General product support is provided through our designated support channels. Billing, privacy, security, and legal requests may be sent to the contact addresses listed in the Privacy Policy or these Terms.
Support is provided on a reasonable-efforts basis. Any target response time is an estimate, not a contractual service level.
14. Intellectual property
TicketQuill and its underlying software, branding, documentation, interfaces, designs, and other materials provided by us are owned by or licensed to us and are protected by applicable intellectual-property laws.
Except for the limited rights expressly granted in these Terms, we reserve all rights in the Service.
You may not copy, resell, sublicense, reverse engineer, decompile, or create derivative works of the Service except to the extent a restriction is prohibited by applicable law.
“TicketQuill” and related marks are our marks or are used under license. Discord and related marks belong to Discord Inc.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES NOT EXPRESSLY MADE IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure against every possible threat, compatible with every Discord change, or available at every time or location.
Nothing in these Terms excludes a warranty, representation, or statutory right that cannot lawfully be excluded.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKETQUILL AND BLACK TIDE STUDIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE FEES YOU ACTUALLY PAID TO US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
The limitations above do not apply to the extent prohibited by law, and do not limit liability for fraud or intentional misconduct. They also do not limit your non-waivable statutory rights or any liability that applicable law expressly makes non-limitable.
17. Indemnification
To the extent permitted by applicable law, you will defend and indemnify Black Tide Studio and TicketQuill against a third-party claim to the extent the claim arises from:
- your unlawful use of the Service;
- your or your users’ unauthorized content or instructions;
- your violation of another person’s privacy or data-protection rights;
- your infringement or misappropriation of third-party intellectual-property rights; or
- your material breach of these Terms.
This obligation does not apply to the extent a claim results from TicketQuill’s own breach of these Terms, fraud, or intentional misconduct.
We will provide reasonably prompt notice of an indemnified claim, reasonable cooperation at your expense, and reasonable control of the defense. You may not settle a claim in a way that admits fault by, imposes non-monetary obligations on, or releases a claim against us without our prior written consent, not unreasonably withheld.
18. Disputes
Before filing a court claim, the parties will attempt in good faith to resolve the dispute informally for 30 days after written notice describing the dispute and requested resolution. This informal process does not prevent either party from seeking urgent injunctive or equitable relief, protecting intellectual-property rights, responding to a security emergency, or using a legally available small-claims procedure.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except to the extent another law is mandatory and cannot be waived.
Subject to mandatory consumer rights and jurisdictional rules, the parties consent to the state and federal courts located in or serving Maricopa County, Arizona, for disputes that are not resolved informally or through a permitted small-claims proceeding.
There is no mandatory arbitration or class-action waiver in these Terms.
19. Changes to these Terms
Each published version will state a version number and effective date.
For material changes, we will provide advance notice through a reasonable channel and, where technically supported, require affirmative acceptance before continued use of a materially changed paid Service. If a material change materially disadvantages you and you do not accept it, you may stop using or cancel the affected Service before the change takes effect, subject to any rights already accrued and applicable law.
We may make non-material changes without advance notice. Urgent changes required for security, fraud prevention, legal compliance, or platform compliance may take effect sooner.
20. Assignment and business changes
You may not assign these Terms or transfer your TicketQuill account or subscription to another person or entity except with our written consent or where the transfer occurs as part of an authorized Discord server or organizational change supported by the Service.
We may assign these Terms to an affiliate, successor, or purchaser of substantially all of the TicketQuill business, provided the assignment does not materially reduce your rights under these Terms.
21. General terms
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
These Terms, together with the Privacy Policy and any applicable DPA or written order form, constitute the agreement between you and TicketQuill concerning the Service and supersede prior statements about the same subject matter.
